1. Definitions
In these Terms and Conditions:
- "Service" or "Services" refers to AI integration consulting services provided by Fulcrum AI, including but not limited to AI maturity assessments, custom AI development, and AI lifecycle management.
- "We," "Us," "Our," refers to Fulcrum AI, a consulting practice registered in Malaysia.
- "Client," "You," "Your," refers to the individual or organization engaging our services.
- "Agreement" refers to these Terms and Conditions together with any service-specific agreements or statements of work.
- "Content" refers to deliverables, documentation, code, models, and other materials produced during service delivery.
2. Acceptance of Terms
By engaging our services, submitting inquiries through our website, or entering into service agreements with Fulcrum AI, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
If you are entering into this agreement on behalf of an organization, you represent that you have the authority to bind that organization to these terms. The organization will be considered the Client under this agreement.
You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services.
3. Service Description
Fulcrum AI provides professional consulting services in the field of artificial intelligence integration, including:
3.1 AI Maturity Assessment
Comprehensive evaluation of organizational readiness for AI implementation, including assessment of infrastructure, data management, team capabilities, and strategic alignment. Deliverables include detailed assessment report with recommendations.
3.2 Custom AI Development
Development of custom artificial intelligence solutions tailored to specific business requirements, including requirements analysis, technical design, implementation, testing, and deployment. Includes documentation and knowledge transfer.
3.3 AI Lifecycle Management
Ongoing support for deployed AI systems including performance monitoring, quality assurance, periodic updates, and technical consultation. Service continuity subject to maintained engagement and payment of applicable fees.
Specific scope, deliverables, timelines, and fees for each engagement will be detailed in separate statements of work or service agreements.
4. Client Responsibilities
Clients engaging our services agree to:
- Provide accurate and complete information necessary for service delivery
- Make available relevant stakeholders, systems access, and data as specified in service agreements
- Respond to requests for information and feedback within reasonable timeframes
- Maintain appropriate backup systems and disaster recovery procedures for critical data
- Notify us promptly of any issues, concerns, or changes that may affect service delivery
- Ensure that data provided to us complies with applicable regulations and you have appropriate rights to use such data
- Review deliverables and provide feedback according to agreed review periods
5. Intellectual Property Rights
5.1 Client Data and Pre-Existing Materials
You retain all ownership rights to data, materials, and intellectual property you provide to us. We acquire only the limited rights necessary to deliver services as specified in our agreement.
5.2 Deliverables
Upon full payment of applicable fees, you receive ownership of custom code, models, and documentation developed specifically for your engagement, subject to our retention of underlying methodologies, tools, and frameworks.
5.3 Fulcrum AI Materials
We retain ownership of our methodologies, assessment frameworks, development tools, and general knowledge accumulated through service delivery. You receive a non-exclusive license to use our deliverables for your internal business purposes.
5.4 Third-Party Components
Solutions may incorporate third-party software, libraries, or services subject to separate licensing terms. We will identify such components and applicable licenses in project documentation.
6. Payment Terms
6.1 Fees and Pricing
Service fees are specified in individual service agreements or statements of work. All fees are quoted in Malaysian Ringgit (RM) unless otherwise agreed in writing.
6.2 Payment Schedule
Payment terms vary by service type. Typical arrangements include upfront payment for assessments, milestone-based payments for development projects, and monthly billing for lifecycle management services. Specific payment schedules will be detailed in service agreements.
6.3 Late Payment
Invoices are payable within 30 days of issue unless otherwise specified. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts with overdue balances.
6.4 Refund Policy
Fees paid for completed work are non-refundable. For engagements terminated before completion, refunds will be calculated based on work completed to date and expenses incurred, as detailed in the applicable service agreement.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes business strategies, technical specifications, data, and other non-public information.
Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law. We may use aggregated, anonymized information for service improvement and industry research.
Confidentiality obligations survive termination of the service agreement for a period of three years.
8. Disclaimers
8.1 No Guarantees of Results
While we apply professional expertise and industry practices, we cannot guarantee specific business outcomes from AI implementations. Results depend on many factors including data quality, organizational adoption, and changing business conditions.
8.2 Professional Advice Limitation
Our services consist of technical consulting regarding AI integration. We do not provide legal, financial, medical, or other regulated professional advice. Clients should consult appropriate licensed professionals for such guidance.
8.3 Third-Party Services
We may recommend or integrate third-party services and technologies. We are not responsible for the performance, availability, or policies of such third-party services.
9. Limitation of Liability
To the maximum extent permitted by Malaysian law, our total liability arising from or related to services provided shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.
We shall not be liable for indirect, consequential, incidental, special, or punitive damages including but not limited to lost profits, lost data, business interruption, or loss of business opportunity, even if advised of the possibility of such damages.
This limitation of liability reflects the allocation of risk between the parties and the fees charged for our services.
10. Indemnification
You agree to indemnify and hold harmless Fulcrum AI, its personnel, and affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of our services, your violation of these terms, or your violation of any rights of third parties, except to the extent caused by our negligence or willful misconduct.
11. Term and Termination
11.1 Service Term
Individual service engagements have terms as specified in their respective agreements. Ongoing services such as lifecycle management continue until terminated by either party with appropriate notice.
11.2 Termination
Either party may terminate an engagement with written notice as specified in the service agreement. For ongoing services, 30 days notice is typically required unless otherwise agreed.
11.3 Effect of Termination
Upon termination, you remain obligated to pay for services rendered through the termination date. We will provide deliverables completed to date and assist with reasonable transition activities. Confidentiality and intellectual property provisions survive termination.
12. Dispute Resolution
12.1 Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia.
12.2 Jurisdiction
Any disputes arising from or related to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Malaysia.
12.3 Informal Resolution
Before pursuing formal legal action, parties agree to attempt good faith resolution through direct discussion and negotiation. Either party may request mediation to facilitate resolution.
13. General Provisions
13.1 Entire Agreement
These Terms and Conditions, together with any service-specific agreements, constitute the entire agreement between parties regarding the subject matter and supersede all prior discussions and agreements.
13.2 Severability
If any provision of these terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full effect.
13.3 Waiver
Failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision.
13.4 Assignment
You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations with reasonable notice to you.
13.5 Notices
Official notices under these terms should be sent to [email protected] for Fulcrum AI, or to the email address provided by the client during engagement.
14. Changes to Terms
We may update these Terms and Conditions periodically. Material changes will be communicated to active clients via email and posted on our website with an updated effective date.
Continued use of our services following notification of changes constitutes acceptance of updated terms. If you do not agree with changes, you may terminate ongoing services according to the termination provisions.
